1. Acceptance

By accessing or using Credit Engine APIs, the Neetix Suite, or any related Neetix AI product (the "Services"), you agree to these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. The Services

Neetix provides credit decisioning APIs and lending operations SaaS. Specifics of what's included depend on your subscription tier. We may update features over time, with notice for material changes.

3. Customer obligations

You must (a) obtain all legally required consents from borrowers before submitting their data to our APIs; (b) comply with RBI digital lending guidelines and applicable law; (c) not reverse-engineer, resell, or rate-limit-evade the Services; (d) keep your API credentials secure.

4. Fees and billing

Fees are as set out in your order form and signed proposal. Invoiced monthly, payable within 15 days. GST extra. Overage on bureau-call volumes is billed at the rate stated for your tier.

5. Service levels

Managed Cloud customers get a 99.9% uptime SLA (99.99% on Enterprise). Service credit details are in your order form. On-Prem deployments are excluded from SLAs since the customer operates the infrastructure.

6. Data and confidentiality

You retain ownership of all customer data and bureau data submitted. We process it only to deliver the Services. We treat your data as Confidential Information and protect it under the security measures detailed in our Privacy Policy.

7. Intellectual property

Neetix retains all rights, title, and interest in the Services, including the underlying software, models, and documentation. You receive a non-exclusive, non-transferable license to use the Services per these Terms.

8. Warranties and disclaimers

The Services are provided "as is." Credit scores and decisions are tools to inform your underwriting — final lending decisions remain your responsibility. We do not warrant any specific outcome (e.g., NPA reduction).

9. Limitation of liability

Neither party's liability under these Terms (excluding indemnities and confidentiality breaches) exceeds the fees paid in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or punitive damages.

10. Termination

Either party may terminate for material breach with 30 days' notice if uncured. Upon termination, your access ends, and we'll provide a data export window of 30 days. Fees already paid are non-refundable except as required by law.

11. Governing law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh.
